Welcome to labuflutes.com.bd These Terms of Service (“Terms”) constitute a legally binding agreement between you and LABU FLUTES (the “Company”). By utilizing our Services, you agree to be bound by these Terms.
1. The Professional Instrument Disclaimer
At LABU FLUTES, we provide artisanal instruments. You acknowledge the following:

Natural Variations: Our flutes are crafted from organic materials. Minor variations in grain, color, and texture are not defects but hallmarks of professional-grade craftsmanship.

Environmental Responsibility: Woodwind instruments are sensitive to humidity and temperature. LABU FLUTES is not liable for cracks, warping, or joint tightening caused by the customer’s failure to maintain proper humidity levels ($40%-60%$) or exposure to extreme temperatures.

Hygiene Policy: Due to the nature of woodwind instruments (oral contact), items that show signs of use are non-returnable under international health and safety protocols.
2. Terms of Sale & Payment Security
By placing an order, you are making an offer to purchase subject to:

Contract Formation: Your receipt of an “Order Confirmation” email does not signify our acceptance. The legal contract is formed only when you receive a “Shipping Notification” email.

Pricing Integrity: In the event of a technical “pricing error,” we reserve the right to cancel the order and provide a full refund. We are not obligated to honor incorrectly displayed prices.

Payment & Authorization: All transactions are processed via SSL Commerz. We do not store your full card details. If payment authorization is revoked by your bank after shipment, the title of the goods reverts to LABU FLUTES until payment is settled.
3. International Shipping & Customs
For our global customers, the following terms apply to mitigate company risk:

DDU (Delivered Duty Unpaid): All international orders are shipped DDU. You are the “Importer of Record” and are solely responsible for all import duties, VAT, and brokerage fees.

Customs Seizures: LABU FLUTES is not liable for instruments seized, delayed, or destroyed by your local customs authorities due to national import regulations. No refunds will be issued for items not cleared by customs.

Carrier Liability: Once a package is handed to DHL, FedEx, Aramex, or UPS, the risk of loss or damage transfers to the carrier and the customer. We recommend purchasing optional shipping insurance for high-value flutes.
4. Intellectual Property & Prohibited Use

Ownership: All content, including flute designs, audio samples, and photography, is the exclusive property of LABU FLUTES.

Personal Use Only: You may store or print content for personal reference. Any commercial reproduction or manipulation of our media is a violation of international copyright law and will be prosecuted.

Cyber Integrity: Any attempt to hack, scrape, or introduce malicious code to our platform is a criminal offense under the Digital Security Act of Bangladesh. We will report all such incidents to the Cyber Security Unit.
5. Limitation of Liability & Indemnity

“As Is” Basis: To the fullest extent permitted by law, LABU FLUTES provides this website and its products “as is” without any warranties of merchantability or fitness for a particular purpose.

Damage Caps: Our total liability for any claim shall not exceed the amount paid for the specific product in question. We are not liable for incidental, indirect, or consequential damages (such as loss of professional performance income).

6. Mandatory Dispute Resolution (Anti-Lawsuit Clause)

Binding Arbitration: If unresolved, the dispute shall be settled by Binding Arbitration in Dhaka, Bangladesh, conducted in English.

7. Force Majeure
LABU FLUTES shall not be held liable for any delay or failure in performance (delivery, website availability) resulting from acts beyond our control, including but not limited to: natural disasters, pandemics, courier strikes, or internet-wide outages.

LABU FLUTES | Domestic Shipment & Delivery Terms (Bangladesh)

1. Domestic Logistics & 3rd Party Agents
To ensure nationwide reach, LABU FLUTES utilizes premier domestic courier services. By placing an order, you acknowledge that delivery is a third-party service.

Authorized Agents: We share necessary delivery data (Name, Phone, Address) with Steadfast, Pathao Courier, RedX, and eCourier.

Liability Transfer: Our legal responsibility for the physical condition of the product ends once the item is handed over to the courier and a consignment ID is generated. LABU FLUTES is not liable for delays, mechanical damage, or internal calibration shifts caused by the courier’s transit process.

Courier “Fragile” Policy: Please note that most domestic couriers (e.g., Steadfast) categorize musical instruments as “Fragile/High-Risk.” While we pack to international standards, the customer assumes the risk of transit-related “incidental damage” as per standard courier terms in Bangladesh.
2. Cash on Delivery (COD) Protocol
For customers utilizing the COD method:

Inspection Rule: As per standard industry practice in Bangladesh, couriers do not allow the opening of the package before full payment is made to the delivery rider.

Refusal Policy: If a customer refuses to accept a COD package without a valid, documented reason (e.g., visible external box damage), LABU FLUTES reserves the right to blacklist the user from future COD services. The customer will be liable for the “Return Shipping” costs.
3. Verification & “Dead on Arrival” (DOA) Claims
To protect the company against fraudulent claims:

Unboxing Video Requirement: We strongly recommend that customers record a continuous, unedited unboxing video. In the event of a claim for “Broken on Arrival” or “Missing Parts,” this video serves as the sole admissible evidence.

Reporting Window: Any damage must be reported via email (info@labuflutes.com.bd) or phone within 24 hours of receipt. Failure to report within this window constitutes an absolute waiver of your right to claim.
4. Force Majeure & Local Disruptions
In the context of Bangladesh’s operating environment, LABU FLUTES is not liable for delivery failures caused by:

Political Events: Hartals, strikes, road blockades, or civil unrest.

Natural Events: Floods, cyclones, or heavy monsoon disruptions.

Government Actions: Internet blackouts or sudden regulatory changes affecting logistics. In such cases, delivery timelines will be automatically extended without any financial penalty to LABU FLUTES.
5. Intellectual Property (Domestic Protection)
All flute designs and brand media are protected under the Copyright Act, 2000 (Bangladesh).
6. Governing Law & Local Jurisdiction
These terms are governed by the Contract Act, 1872 and the Digital Security Act, 2018 of Bangladesh. Any dispute arising from domestic sales that cannot be resolved through our complaint procedure (ceo@labuflutes.com) shall be subject to the exclusive jurisdiction of the Judicial Courts in Dhaka, Bangladesh.
